Financial Leasing Onboarding Guide

A finance lease is asset-based financing: the lessor buys and legally owns the equipment, the lessee uses it and pays rent that repays the cost plus a margin. This guide takes new staff through how the industry works in China and internationally, and through each stage of a deal from first client contact to lease end.

The industry

What leasing is, how big the market is, and who the lessors are.

1

Leasing fundamentals

Verified

Every lease splits legal ownership (the lessor keeps title) from economic use (the lessee runs the asset and pays rent). What varies is who carries the asset's risk and how the asset enters the deal.

Finance lease vs operating lease

Finance lease ("full payout")Operating lease
Economic substancePurchase financing for the lesseeA rental for short-term or temporary use
Who carries ownership riskSubstantially all risks and rewards pass to the lesseeMostly stays with the lessor
How the lessor is repaidRentals over one term amortize cost, funding cost and a profitSeveral rental terms plus the final sale of the asset
Residual value relied onSmall; IFC's rule of thumb is no more than about 20% of costLarge; the resale value is part of the return
Maintenance and insuranceUsually the lesseeUsually the lessor
Typical end of termLessee buys for a nominal priceAsset returns to the lessor, is re-leased or sold

The 20% figure is a rule of thumb, not an accounting test. IFRS 16, ASC 842 and CAS 21 classify a lease by indicators such as transfer of ownership, a bargain purchase option, a term covering most of the asset's life, and payments worth substantially all of its fair value.

Direct lease vs sale-and-leaseback

Direct lease · 直租

Lessor → vendor
  • The lessee picks the equipment and the vendor.
  • The lessor buys it from the vendor and leases it to the lessee.
  • Finances new capital spending. Regulators now favour it.

Sale-and-leaseback · 售后回租

Lessor → lessee
  • The lessee already owns the asset and sells it to the lessor.
  • The lessee leases it back and keeps using it.
  • Raises liquidity from existing equipment. About 71% of Chinese business in 2023.

How leasing differs from a bank loan

  • Underwriting focus. A lessor looks mainly at whether operating cash flow can pay the rent, and partly at the asset's value in use or in a forced sale. Banks tend to look at the balance-sheet value of collateral.
  • Ownership is the protection. The lessor owns the asset, so it can take it back without first proving a security interest.
  • Closer to the equipment market. Lessors work with vendors, know resale values and can dispose of repossessed assets.
  • Good fit for SMEs. A firm without land or buildings to pledge can still finance a machine.
  • Much in common. Rent repays interest and principal, both allow recovery on default, both are non-cancellable. Many Chinese leasebacks to local-government platforms are underwritten on credit like a loan; the cash-flow-and-asset model is the ideal, not universal practice.

Market size: China and the world

Verified + course notes

China's leasing market has shrunk since its 2019 peak, to about RMB 5.6 trillion of contracts at end-2023, and leasing still finances under 10% of China's equipment investment.

Most of the firms that left were foreign-invested lessors. China Leasing Alliance data cited by the rating agencies agrees: 8,846 firms and RMB 5.64 tn at end-2023, and RMB 5.61 tn at end-June 2024.

Penetration: how much equipment investment is financed by leasing (2021)

Penetration = equipment lease volume ÷ total equipment investment. A low rate means a lot of room to grow.

Business mix: sale-and-leaseback still dominates

Leaseback was about 80% of business in 2021 and 2022 and fell to about 71% in 2023. By lessor type in 2023: about 65% at financial leasing companies backed by national banks, about 92% at those backed by local banks or non-financial firms, and 71% at commercial lessors. The sample is bond-issuing lessors; the share has probably fallen further under the 2023 rules in section 8.

Global picture (course notes, not re-verified)

Annual new lease volume worldwide is above USD 1 trillion. North America writes about 39%, Europe about 35% and Asia about 21% — together over 94%. In the US, leasing is the second-largest source of equipment finance after bank loans; Japan's rate stays low (about 7–10%) because main-bank lending dominates. Who the lessors are in China

Verified + course notes

China has two licensed tracks: NFRA-supervised financial leasing companies, mostly bank-owned, and commercial financing-lease companies supervised by local financial regulators. Only NFRA-approved firms may use "financial leasing" in their name.

Lessor typeRegulatorShareholdersExamplesBusiness focusCredit profile
Bank-affiliated financial leasing company (金融租赁公司)NFRALarge and regional banksICBC Leasing, CCB Leasing, Bocom Leasing, CDB LeasingAircraft, ships, energy, large infrastructure and equipmentRated in line with the parent bank; support written into the articles and required by the regulator

Bank-affiliated row: Fitch rated these lessors' standalone strength as only moderate (high leverage, thin profitability, short-term wholesale funding); parent support makes up the difference. The three commercial rows follow the Lianhe Ratings 2025 study of 65 bond-issuing lessors (course notes).

How a lessor makes money

  • Interest spread. The gap between the yield on lease assets and the funding cost. Net interest margin (净息差) = net interest income ÷ average interest-earning assets (生息资产). Course notes put high-grade lessors' net spreads at about 3.5–4.5%.
  • Fees and services. Arrangement and advisory fees, factoring, operating-lease and equipment services.
  • Funding. Bank loans, bonds and medium-term notes, and asset-backed securitization (ABS) — selling a pool of lease receivables to investors to free up capital. NFRA-licensed lessors can also borrow on the interbank market and lean on parent banks.

Benchmark 1 · Far East Horizon (FY2025, issuer's results presentation)

MetricFY2025

NPL provision coverage228%

In inclusive finance, anything more than 30 days overdue is non-performing and written off in full. Its "finance + industry" model — equipment rental via Horizon Construction Development — gives in-house inspection, remarketing and disposal capacity, lowering residual-value risk (course notes, Huatai research).

Benchmark 2 · Ping An Leasing (course notes, 2026 bond prospectus)

  • Total assets about RMB 307 bn. About 83% of revenue is lease interest, about 9% factoring, the rest operating leases and services.
  • Funding: about 65% bank facilities, 31% bonds, MTNs and ABS, 4% non-bank borrowing such as insurance debt plans.
  • Underwriting rule: the lessee's existing cash flow must cover the rent on its own; expected cash flow from the new equipment is left out.

5

The deal lifecycle, stage by stage

Verified + course notes

The two controls that matter most come before any money moves: registering the lessor's ownership (stage 4), and confirming the asset was really delivered (stage 5).

The stage design follows the library's workflow course, built from Ping An Leasing's prospectus, the OCC handbook and the Gateway training guide. Legal points are cited to the Civil Code.

1

Origination and initial screening

Business team

GoalDecide whether the client and the asset are worth a full review.

  1. Diagnose the need. New capital spending points to a direct lease. Raising cash from equipment the client already owns points to a sale-and-leaseback.
  2. Pre-qualify the client. Check the business license, operating history (often more than 2 years, or personal guarantees), revenue stability, industry white-lists and anti-money-laundering screening.
  3. First pass on the five Cs. Character (integrity, payment history, litigation) · Capacity (cash flow to pay the rent) · Capital (equity buffer, leverage) · Collateral (how liquid the asset is second-hand) · Conditions (industry cycle, input prices, regulation).
  4. Check the asset is eligible. It must be movable equipment with its own serial number. Roads, pipe networks and other civil works do not qualify.
DocumentsProject applicationBusiness license and articlesCredit-bureau authorizationEquipment quotes or invoices

Watch forShell companies with invented trade, and "leases" used to refinance other debt.

2

Due diligence and structuring

Business + risk

GoalConfirm the facts on site and design a lease the client can afford.

  1. Two-person site visit. Inspect the workshop, utility bills, payroll records and bank statements.
  2. Tag the asset. Photograph nameplates and record serial numbers and VINs. Check for existing liens or someone else's GPS tracker.
  3. Stress-test repayment. Use the client's existing cash flow only; leave out the hoped-for output of the new machine.
  4. Structure and price. Set the term, payment frequency, deposit, residual and target return; build the rent schedule (see section 6).
DocumentsDue-diligence reportAsset photos and serial registerPricing model3 years of financials12 months of bank statements

Watch forInflated asset values and optimistic production forecasts.

3

Credit approval

Risk, legal, credit committee

GoalAn independent decision, with the conditions attached.

  1. Second-line review. Risk and legal staff, independent of sales, write their own opinion on the risk grade, security and limits.
  2. Concentration check. Confirm the deal keeps the lessor within its single-client, group and related-party limits (section 8).
  3. Credit committee vote. Risk or compliance can veto. Approval comes with conditions precedent (CPs) such as guarantees, a higher deposit or extra collateral.
  4. Approval letter. It fixes the rate, fees, deposit and drawdown milestones.
DocumentsRisk review memoCommittee minutesApproval letterConcentration compliance sheet

Watch forSales teams overriding risk opinions; deals that quietly breach related-party limits.

4

Contracts and registration

Legal + operations
Key control before payout

GoalMake the lessor's ownership enforceable against everyone, not only the lessee.

  1. Sign in person. The finance lease agreement, the purchase contract with the vendor (direct lease) or the asset transfer agreement (leaseback), guarantees and board resolutions.
  2. Register on Zhongdengwang before paying out. Zhongdengwang (中登网) is the PBOC Credit Reference Center's national registry for movable assets. Unregistered ownership cannot be asserted against a third party acting in good faith (Civil Code Art. 745).
  3. Describe the asset exactly. The lessee's legal name and credit code, model, serial numbers and VINs. A vague description can defeat the registration.
  4. Direct leases: register within 10 days of delivery. That gives the lessor purchase-money priority over the lessee's earlier floating charges (Civil Code Art. 416, extended to lessors by the Supreme People's Court's interpretation on security interests).
DocumentsMaster finance lease agreementEquipment sales / asset transfer contractZhongdengwang filing certificateGuarantee contracts

Watch forPaying out before the registration is on file.

US equivalent: a UCC financing statement plus a post-closing lien search to confirm the lessor is first in line and the asset has not been financed twice (OCC Handbook, p. 26).

5

Delivery, acceptance and payout

Operations + treasury
Key control before payout

GoalPay only for an asset that exists, works and is insured.

  1. Clear every CP. Deposit and advance rent received, insurance naming the lessor as first loss payee, registration certificate on file.
  2. Delivery and acceptance certificate (D&A). After installation and testing, the lessee signs it to confirm the asset is delivered and working. It also starts the lease.
  3. Closed-loop payment. In a direct lease the vendor invoices the lessor (special VAT invoice) and the money goes straight to the vendor, never to the lessee.
  4. Book the lease. Enter it in the core system and start billing.
DocumentsCP checklistSigned D&A certificateInsurance with loss-payee endorsementSpecial VAT invoicePayment voucher

Watch forPaying before delivery, duplicate invoices, forged purchase receipts.

6

Post-lease monitoring

Business + risk

GoalSpot trouble early, while the asset is still recoverable.

  1. IoT and GPS tracking. BeiDou/GPS sensors report engine hours, idle time, location and geofence alarms.
  2. Quarterly registry sweeps. Search for conflicting registrations or court seizures.
  3. Periodic site visits. Check serial tags and the client's tax filings.
  4. Early-warning levels (Ping An's model). Blue: minor delays, more visits · Yellow: operating stress, ask for more security · Red: default or tampering, legal action. An alert is lifted only after at least a month of observation.
  5. Five-tier risk grading. Grades and provisions are reviewed regularly (section 10).
DocumentsSite inspection reportTelematics reportEarly-warning formRegistry sweep log

Watch forGPS units removed or jammed; several courts freezing the same asset.

7

Lease end: payoff or default

Operations / legal

GoalClose the lease cleanly, or recover as much value as the law allows.

Normal payoff
  1. Final payment. The lessee pays the last rent and the purchase price, often a nominal amount.
  2. Transfer and deregister. The lessor issues a title transfer certificate and cancels the Zhongdengwang registration.
  3. Ownership rules. If the contract is silent on ownership, the asset stays with the lessor (Art. 757). If the lessee only owes a nominal price, ownership passes once all rent is paid (Art. 759).
Default
  1. Demand payment, then choose one remedy. If the lessee still does not pay within a reasonable period after a demand, the lessor either accelerates (claims all remaining rent) or terminates and repossesses (Civil Code Art. 752). Courts generally require one, not both.
  2. Freeze assets. Through the court, while the claim proceeds.
  3. Repossess lawfully. By agreement or court order. Forced entry or violent "self-help" exposes the lessor to damages.
  4. Value, sell and settle. Independent appraisal, public sale; deduct debt and costs, refund any surplus, pursue any shortfall. Where ownership was to pass and most rent was paid, the lessee is entitled to the surplus (Art. 758).
  5. Bankruptcy. Once the lessee enters reorganization, do not take back assets the business needs. File a claim with the administrator.
DocumentsTitle transfer certificateRegistry cancellationDemand letterDisposal and surplus/deficiency statement

Watch forCheap undocumented sales of repossessed assets; repossession during reorganization.

Lease structures and pricing

Course notes

The structure decides who keeps the asset's end value; the price is an annuity that repays the financed amount at the target yield.

StructureEnd of termWho carries residual riskTypical use
$1 buyout (nominal buyout, 名义留购)Lessee buys for a token priceLesseeDurable heavy machinery; works like an installment purchase. The usual form in China
Fair market value (FMV) leaseBuy at market value, renew or returnLessorFast-depreciating technology and IT; lowest monthly rent
TRAC leaseAsset sold; result measured against a residual agreed up front (e.g. 20%)Lessee: gets any surplus, pays any shortfallTrucks, trailers, fleets
Wrap leaseLessor leases out equipment it holds on lease and sells the cash flows to investorsDepends on the underlying leaseMonetizing an existing lease

Source: Gateway training guide (course notes, US terms)

Pricing the rent

With equal monthly rent the payment is the annuity formula. P is the amount financed, r the monthly rate, N the number of payments and R any residual the lessor relies on.

PMT = ( P − R(1 + r)N ) × r (1 + r)N(1 + r)N − 1

The lease rate factor (LRF, 租金系数) is the periodic rent ÷ the asset cost. Sales staff use it to quote quickly: rent = cost × LRF.

Worked example

Input or resultValue
Amount financedRMB 10,000,000
Term36 monthly payments in arrears
Target yield6.0% a year (0.5% a month)
Monthly rent, no residualRMB 304,219 (LRF 0.0304)
Total rent paidRMB 10.95 m (RMB 0.95 m of interest)
Monthly rent with a RMB 1 m residualRMB 278,797
Lessor's IRR with a 1% upfront feeabout 6.9% a year (effective)

A residual lowers the rent but leaves the lessor exposed to resale value; upfront fees and deposits raise the lessor's real return above the quoted rate. Try other inputs in the Academy's lease calculator (Sandboxes tab).

Other pricing inputs

  • Funding cost plus a margin for the credit risk grade gives the target yield.
  • Deposit, advance rent, fees, payment frequency and grace periods.
  • Residual value: how much the lessor relies on, and whether a vendor or guarantor stands behind it.
  • In China, courts may split an upfront fee off as a discount on principal if it looks like disguised interest — disclose every fee component (pitfall 7 in section 10).

Regulation

Verified + course notes

The two Chinese tracks have different rulebooks: NFRA's 2024 Measures for financial leasing companies, and the 2020 CBIRC Interim Measures (No. 22) for commercial lessors. The 2023 rules also cap sale-and-leaseback.

Financial leasing companies · NFRA Order No. 6 [2024]

Issued 14 Sep 2024, in force 1 Nov 2024, replacing the 2014 Measures. Art. 4 defines financial leasing as the Civil Code does and treats sale-and-leaseback as the case where the lessee is also the seller (text).

LimitRequirement
Leverage ratio (Tier 1 capital ÷ adjusted on- and off-balance-sheet assets)At least 6%
Financial leverage (total assets ÷ net assets)At most 10x
Main sponsor's shareholdingAt least 51% (was 30%)

Curbs on sale-and-leaseback (NFRA-supervised lessors only)

  • NFRA Document 149 (Jul 2023): no new sale-and-leaseback of non-equipment assets.
  • Jin Gui [2023] No. 8 (Oct 2023): the leaseback share of new 2024 business must fall 15 points from its Q1–Q3 2023 level; direct leasing should reach at least 50% of new business by 2026. Exempt: leasebacks for small, micro and agricultural lessees, aircraft, ships and vehicles, and new-equipment deals that are direct leases in substance.
  • Roads, bridges, pipe networks and other civil works are not eligible lease assets, which stops leasing from adding hidden local-government debt.

Accounting and tax

Background — confirm before use

Lessees now put almost every lease on the balance sheet; lessors still split leases into finance and operating. This section is general background — confirm it against current standards and tax circulars before relying on it.

Lessee accounting

IFRS 16 and CAS 21 (2018 revision)

  • One model: a right-of-use asset (使用权资产) and a lease liability (租赁负债) at the present value of the payments.
  • Asset depreciated, liability accrues interest, so total expense is higher in early years.
  • Short-term (12 months or less) and low-value leases can stay off the balance sheet.

ASC 842 (US GAAP)

  • Right-of-use asset and liability also go on the balance sheet.
  • Two lessee types remain: finance leases are front-loaded like IFRS 16.
  • Operating leases show one straight-line lease cost.

Lessor accounting

StandardClassificationWhat the lessor records
IFRS 16 / CAS 21Finance leaseRemoves the asset; records a lease receivable at the net investment; finance income at the effective interest rate
IFRS 16 / CAS 21Operating leaseKeeps and depreciates the asset; rent recognized straight-line
ASC 842Sales-type, direct financing or operatingSimilar split; sales-type can book selling profit at the start
Sale-and-leaseback accounting

If the transfer to the lessor does not count as a sale — for example because the lessee will buy the asset back for a nominal price — the lessor records a financial asset (a loan receivable) rather than a lease. Many Chinese leaseback portfolios are booked this way.

China VAT (approximate — confirm current rates and rules)

StructureVAT treatment
Direct finance lease of movable equipmentLeasing service, generally 13%. The lessee can usually claim input VAT on the rent
Sale-and-leasebackLoan service, generally 6%, on interest rather than principal. The lessee generally cannot claim input VAT on loan interest
Asset sale from lessee to lessor in a leasebackGenerally outside the scope of VAT

The VAT gap is one reason structure matters: a direct lease passes deductible input VAT to the lessee, while a leaseback does not.

Managing risk

The main risks, how lessors grade and watch them, and the mistakes to avoid.

10

Risk management

Verified + course notes

The main risks are the lessee's credit, the value and title of the asset, and the lessor's own funding. Lessors manage them with risk grading, early warnings, three independent lines of defense and a short list of known mistakes to avoid.

Main risk types

  • Credit risk — the lessee cannot pay. The largest risk.
  • Asset and residual-value risk — the asset is worth less on resale, is hard to find, or is damaged.
  • Legal and title risk — an unregistered or poorly described lease, a lease recast as a loan, competing claims.
  • Concentration risk — too much exposure to one client, group, region or industry.
  • Liquidity and interest-rate risk — long leases funded with shorter debt; refinancing and rate moves hit the margin.
  • Operational and fraud risk — forged invoices, duplicate financing, assets that do not exist.
  • Policy risk — e.g. curbs on leasing to local-government platforms and the leaseback caps.

Five-tier asset classification (资产五级分类)

GradeMeaningTypical overdue trigger
Normal (正常)Paying as agreed; no reason to doubt repaymentNot overdue
Special mention (关注)Paying now, but warning signs existOverdue up to 90 days
Substandard (次级)Clear problems; some loss likelyMore than 90 days
Doubtful (可疑)Significant loss expectedMore than 270 days
Loss (损失)Little or nothing recoverableMore than 360 days

Overdue bands are approximate, based on the 2023 risk-classification rules for banks that lessors generally mirror — confirm your firm's own policy. The last three grades are non-performing. Provision coverage (拨备覆盖率) = loss reserves ÷ non-performing assets; leading lessors run above 200% (Far East Horizon: 228% in FY2025).

融资租赁核心交易结构交互图解

Visual Diagrams & Legal Mechanics

1. 直接融资租赁(Direct Finance Lease)—— 三方两合同

出卖人 (Vendor) ────── 买卖合同 / 支付货款 ──────► 出租人 (Lessor)

(Lessor/Buyer)
